1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

  • "Service" refers to AI integration services provided by sttratumma, including Structure Assessment, Systematic Integration, and Structured Evolution Program.
  • "Client" or "You" refers to the individual or organization engaging sttratumma for services.
  • "We", "Us", or "Our" refers to sttratumma.
  • "Agreement" means these Terms and Conditions together with any service-specific documentation.
  • "Deliverables" refers to the outputs specified in the service engagement documentation.

2. Acceptance of Terms

By engaging our services, accessing our website, or communicating with us regarding service provision, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

You confirm that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are engaging services on behalf of an organization, you confirm that you have the authority to bind that organization to these terms.

3. Service Description

sttratumma provides AI integration consulting and implementation services to organizations in Singapore. Our services include:

  • Structure Assessment: Evaluation of AI readiness and implementation planning
  • Systematic Integration: Implementation of AI capabilities following documented methodologies
  • Structured Evolution Program: Ongoing AI integration support and optimization

Specific service details, timelines, and deliverables will be outlined in individual service agreements or statements of work.

We reserve the right to modify service offerings, and will communicate any changes that affect active engagements.

4. Client Responsibilities

4.1 Information Provision

You agree to provide accurate, complete, and timely information necessary for service delivery. This includes business process documentation, technical specifications, and access to relevant systems as outlined in the service agreement.

4.2 Cooperation

You agree to cooperate with our team, provide timely feedback, and make authorized personnel available for consultations as required for effective service delivery.

4.3 System Access

When implementation services require access to your systems, you are responsible for providing appropriate access credentials and ensuring necessary permissions are in place.

5. Intellectual Property

5.1 Our Intellectual Property

All methodologies, frameworks, templates, and pre-existing materials used in service delivery remain the intellectual property of sttratumma. We grant you a limited, non-exclusive license to use these materials solely for the purpose of receiving and implementing our services.

5.2 Client Intellectual Property

You retain all rights to your pre-existing intellectual property, business data, and proprietary information. We will use such information only as necessary to deliver the agreed services.

5.3 Deliverables

Upon full payment, you receive ownership of project-specific deliverables created exclusively for you, subject to the license restrictions in section 5.1 regarding our underlying methodologies.

6. Payment Terms

6.1 Pricing

Service fees are specified in individual service agreements. All prices are in Singapore Dollars (SGD) and exclude applicable taxes unless otherwise stated.

6.2 Payment Schedule

Payment terms will be specified in the service agreement. Typical arrangements include:

  • Structure Assessment: Payment upon engagement
  • Systematic Integration: 50% upon engagement, 50% upon completion
  • Structured Evolution Program: Monthly invoicing based on service level

6.3 Late Payment

Invoices are due within 30 days of issue date. Late payments may incur interest at 1.5% per month or the maximum rate permitted by Singapore law, whichever is lower.

6.4 Refund Policy

Refunds are considered on a case-by-case basis for services not yet delivered. Work completed before cancellation will be billed at the pro-rata rate. No refunds are provided for completed services.

7. Service-Specific Terms

7.1 Service Delivery

We will deliver services following documented methodologies and within timeframes specified in service agreements. Timelines are estimates and may be adjusted based on scope changes or client availability.

7.2 Scope Changes

Changes to agreed scope will be documented through our change request process. Additional work resulting from scope changes will be quoted separately.

7.3 Documentation

We provide comprehensive documentation for all deliverables. Documentation remains subject to the intellectual property provisions in section 5.

8. Disclaimers

Services are provided on an "as is" basis. While we apply professional expertise and follow documented methodologies, we do not guarantee specific business outcomes or results.

AI integration results depend on multiple factors including data quality, organizational readiness, and implementation adherence. We provide guidance and implementation support but cannot control all variables affecting outcomes.

Our services constitute professional consulting and implementation support, not professional advice in legal, accounting, or regulatory matters. Clients should consult appropriate advisors for such matters.

9. Limitation of Liability

To the maximum extent permitted by Singapore law, our total liability arising from or related to services provided shall not exceed the fees paid by you for the specific service giving rise to the claim.

We shall not be liable for indirect, incidental, consequential, or special damages including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or other matters where liability cannot be limited under Singapore law.

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation continues for three years after engagement termination.

Confidential information does not include information that: is publicly available, was known prior to disclosure, is independently developed, or is required to be disclosed by law.

11. Termination

11.1 Termination by Client

You may terminate services with 30 days written notice. You remain responsible for payment for work completed through the notice period.

11.2 Termination by sttratumma

We may terminate services immediately if you breach these terms, fail to make payment, or if continuing services would violate applicable laws or regulations.

11.3 Effect of Termination

Upon termination, we will provide completed deliverables and return client materials. Sections relating to payment, intellectual property, confidentiality, and limitation of liability survive termination.

12. Dispute Resolution

12.1 Governing Law

These Terms and Conditions are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the Singapore courts.

12.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt resolution through good faith negotiation for a period of 30 days.

13. General Provisions

13.1 Entire Agreement

These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between parties and supersede all prior discussions or agreements.

13.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force and effect.

13.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign these terms without our written consent. We may assign our rights and obligations with notice to you.

13.5 Notice

Notices shall be sent to the contact information provided in service agreements. Email notices are considered delivered when sent.

14. Changes to Terms

We may update these Terms and Conditions to reflect changes in our services or legal requirements. Material changes will be communicated via email to active clients.

Continued use of services after changes become effective constitutes acceptance of updated terms. Changes do not apply retroactively to existing service agreements.
